Argentina: Bruchou & Funes de Rioja Advised on Vista Energy Argentina’s Notes Issuance
On June 5th, Vista Energy Argentina S.A.U. (“Vista”) successfully issued Series XX Notes— simple, non-convertible into shares, denominated and payable in U.S. Dollars— for a total nominal amount of US$13,500,000 (the “Series XX Notes”). The issuance was carried out under the company’s Global Program of up to US$800,000,000.
Series XX Notes, maturing on July 20th, 2025, will accrue interest at a nominal annual fixed rate, equivalent to 4.50%, and will amortize its principal in one payment on the maturing date.
Additionally, Series XX Notes were admitted for listing on Bolsas y Mercados Argentinos S.A., and authorized for trading at Mercado Abierto Electrónico S.A. On May 24th, Moody’s Local AR Agente de Calificación de Riesgo S.A. and FIX SCR S.A. Agente de Calificación de Riesgo (Fitch Ratings affiliate) locally rated Series XX Notes “AAA.ar”, with a stable outlook.
In this Notes issuance, Banco BBVA Argentina S.A., Banco Macro S.A., and Macro Securities S.A.U. acted as placement agents (all together, the “Placement Agents”).
