Argentina: Bruchou & Funes de Rioja advise on Vista Energy Argentina’s Notes issuance

On May 29th, Vista Energy Argentina S.A.U. (“Vista”) successfully issued Additional Class XVI Notes —simple, non-convertible into shares, denominated in U.S. Dollars and payable in Pesos—, for a total nominal amount of US$ 40,785,237 (the “Additional Class XVI Notes”), which were paid for thorough the tender of Vista’s Class VII Notes (issued on March 10th, 2021). The issuance was carried out under the company’s Global Program of up to US$ 800,000,000.

Additional Class XVI Notes, maturing on June 6th, 2026, will accrue interest at a nominal annual fixed rate, equivalent to 0,00% —therefore no interest being paid under them—, and will amortize its principal in one payment on the maturing date. The Additional Class XVI Notes were entirely subscribed through the tender of 93.45% of the outstanding Class VII Notes.

Furthermore, Additional Class XVI Notes were admitted for listing on Bolsas y Mercados Argentinos S.A., and authorized for trading at Mercado Abierto Electrónico S.A.. On May 17th, Moody’s Local AR Agente de Calificación de Riesgo S.A. locally rated the Notes “AAA.ar” with a stable outlook.

In this notes issuance, Banco BBVA Argentina S.A., Banco de Galicia y Buenos Aires S.A.U., Banco Itaú Argentina S.A., Banco Macro S.A., Macro Securities S.A.U. and Itaú Valores S.A. acted as placement agents (the “Placement Agents”).
