Argentina: Bruchou & Funes de Rioja advise on Vista’s Notes issuances

On March 3, Vista Energy Argentina S.A.U. ("Vista") issued the simple non-convertible into shares Class XVIII and Class XIX Notes, both denominated in U.S. Dollars, integrated and payable in Pesos (the “Notes”). Class XVIII was issued for US$118,542,307 and Class XIX for US$16,457,693, totaling US$135,000,000. The Notes were issued under the company’s Global Program of up to US$800,000,000 (or its equivalent in other currencies or units).

Class XVIII will not accrue interest and will repay 100% of the principal on the maturity date, March 3, 2027. Class XIX will accrue interest at a rate of 1% per annum. and will repay 100% of the principal on the maturity date, March 3, 2028.

The Notes were admitted for listing on Bolsas y Mercados Argentinos S.A., and authorized for trading at Mercado Abierto Electrónico S.A. On February 27th, Moody’s Local AR Agente de Calificación de Riesgo S.A. locally rated the Notes as “AAA.ar”.

In turn, the arrangers were Banco Macro S.A., Banco de Galicia y Buenos Aires S.A.U., Banco Itaú Argentina S.A. and Banco BBVA Argentina S.A. (all together, the “Arrangers”).
