Briefly describe your practice and who you work with.

I would describe myself as a corporate law generalist, but my practice is predominantly focused on private M&A and divestiture deals, preferred equity investments in the form of direct equity or convertible notes, and private placement fund formation. In addition to the transaction documentation itself, such work often involves forming corporations, limited liability companies, and limited partnerships and drafting related corporate governance documentation that fit the specific needs of the client. I also do a fair amount of review of what we call "commercial agreements” which tend to be one-off supplier/vendor, sales, services, distribution, and license agreements that occur in the day-to-day operation of a business. I work with clients in a variety of industries all over the East Coast, USA. We often do have international transaction needs, and I have called on our WLG partners on many occasions to help with those matters.

What is one relationship you've made through World Law Group that has been important to your practice?

I have valued many WLG connections across the world but a special call-out in particular – I greatly enjoyed working closely with the always wise, balanced, and patient Tsuneo Sato of City-Yuwa Partners in Japan on a complex transaction several years ago.

What is something you like to do in your free time (hobby)?

My free time is spent chasing after my 4-year-old son and 18-month-old daughter and updating/renovating our 100+-year-old mountain cottage.

When the pandemic is behind us, where is the first place you'd like to travel?

I am looking forward to hopefully heading back to Lima, Peru for the Regional World Law Group Americas Conference next year!
