Santamarina y Steta acted as lead counsel of Grupo Industrial Saltillo (“GIS”), a Mexican conglomerate publicly-traded company, in the acquisition by GIS of Infun, S.A., a leading manufacturer of iron castings for the automotive industry with operations in Spain, Italy and China. Santamarina y Steta approached WLG member firms Cuatrecasas in Spain, Gianni, Origoni, Grippo, Cappelli & Partners in Italy, Zhong Lun Law Firm in China and CMS Germany in Germany to assist GIS in the completion of the acquisition. For the acquisition, Cuatrecasas acted as Spanish counsel to GIS, Gianni, Origoni, Grippo Capelli & Partners as Italian counsel to GIS and Zhong Lun as Chinese counsel to GIS. CMS Hasche Sigle advised GIS in connection with the obtainment of antitrust clearance in Germany in connection with the acquisition. Santamarina y Steta also assisted GIS in obtaining a USD 326.5 million Syndicated Loan Facility for the acquisition of Infun and for the refinancing of other loan facilities of GIS and its subsidiaries. Santamarina y Steta acted as lead counsel to GIS in the negotiation of the acquisition of Infun and the obtainment of the syndicated loan facility and the setup of the guarantee documents (notes, pledges, security documents, etc.). Cuatrecasas also assisted in the setup of guarantees in Spain.
